The Audit Defense Log, scan reports, remediation suggestions, and all other outputs produced by BidShield ADA are technical artifacts designed to assist you and your legal counsel in documenting compliance efforts. They do not constitute legal opinions, legal certifications, or guarantees of compliance with the Americans with Disabilities Act (ADA), DOJ Title II regulations, Section 508, WCAG guidelines, or any other law or standard.
You should consult a qualified attorney for legal advice regarding your specific ADA compliance obligations. BidShield ADA provides the technical evidence and structured documentation that your attorney may use to evaluate and defend your compliance posture.
These Terms of Service ("Terms") govern your access to and use of BidShield ADA's website at bidshieldada.com and all related services, tools, features, and content (collectively, the "Service"), operated by BidShield ADA ("BidShield ADA," "we," "us," or "our").
By creating an account, making a purchase, or otherwise using the Service, you agree to be bound by these Terms, our Privacy Policy, and any additional terms referenced herein. If you do not agree to these Terms, do not use the Service.
1. Nature of the Service
1.1 What BidShield ADA Is
BidShield ADA is a software platform that provides automated WCAG 2.1 Level AA compliance scanning, AI-powered remediation suggestions (including alt-text generation for images, PDFs, and engineering documents), structured audit defense log generation with timestamped records of your compliance efforts, exportable compliance artifacts (CSV, XLSX) for use by you and your legal, procurement, or compliance teams, and vendor accessibility statement templates.
BidShield ADA is a source-level remediation and documentation tool. Our scanning engine identifies actual accessibility barriers in your HTML, documents, and digital assets and provides actionable remediation guidance so you can fix the underlying issues. The Audit Defense Log creates a timestamped, verifiable record of your remediation actions that may support a "Good Faith Effort" defense under DOJ Title II — as evaluated by your own legal counsel.
1.2 What BidShield ADA Is Not
Not a Law Firm or Legal Service. BidShield ADA does not provide legal advice, legal representation, or legal opinions. All outputs of the Service — including but not limited to scan results, remediation suggestions, audit defense logs, and accessibility statements — are technical artifacts. They are designed to assist your qualified legal counsel in evaluating your compliance posture. No information provided by BidShield ADA should be construed as legal advice.
Not an Accessibility Overlay or Widget. BidShield ADA does not inject JavaScript overlays, toolbar widgets, or client-side scripts onto your website. We do not cosmetically mask accessibility issues with front-end modifications that leave underlying barriers in place. Unlike overlay products, BidShield ADA identifies source-level issues and helps you remediate them in your actual codebase, documents, and digital assets. We believe genuine compliance requires fixing the source — not hiding the symptoms behind a script.
Not a Guarantee of Compliance. No automated tool can guarantee full ADA, WCAG, or Section 508 compliance. Automated scanning detects a significant subset of WCAG violations, but certain accessibility requirements (such as the logical reading order of complex documents, the appropriateness of alt-text in context, or keyboard navigation flows in custom applications) require human judgment. BidShield ADA is one component of a comprehensive compliance strategy that should also include manual review and consultation with accessibility professionals and legal counsel.
Not a Certification Body. BidShield ADA does not certify, warrant, or represent that any website, application, or document is compliant with any law, regulation, or standard. Terms like "compliant," "pass," or "clear" used within the Service interface refer to the status of specific automated checks and do not constitute a legal determination of compliance.
2. Account Terms
You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Service. If you use the Service on behalf of a company, organization, or other entity, you represent and warrant that you have authority to bind that entity to these Terms, and "you" refers to both you individually and the entity you represent.
You are responsible for maintaining the security and confidentiality of your account credentials. You agree to notify us immediately at support@bidshieldada.com if you become aware of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to maintain the security of your account.
You agree to provide accurate, current, and complete information when creating your account. You may not create an account using a false identity, impersonate another person or entity, or use the Service for any purpose that violates applicable law.
3. Purchases, Pricing & Refund Policy
3.1 Pricing
The Contractor's Defense Bundle is currently offered as a one-time purchase. Pricing is displayed at the time of checkout and is subject to change without notice. Any price changes will not affect purchases already completed.
3.2 Payment Processing
All payments are processed by Stripe, Inc. By making a purchase, you agree to Stripe's terms of service and privacy policy. You represent that you are authorized to use the payment method you provide. All prices are in U.S. dollars unless otherwise stated.
3.3 Refund Policy
We offer a 30-day money-back guarantee from the date of purchase. If you are dissatisfied with the Service for any reason, you may request a full refund within 30 calendar days of your purchase by contacting support@bidshieldada.com. Refund requests received after the 30-day period will be evaluated on a case-by-case basis at our discretion. Refunds are processed through Stripe and typically appear within 5–10 business days depending on your financial institution.
4. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not use the Service to scan websites or domains you do not own or have explicit authorization to scan, engage in any activity that interferes with or disrupts the Service or its infrastructure, attempt to gain unauthorized access to any part of the Service or its systems, resell, sublicense, or redistribute the Service or its outputs without our prior written consent, use the Service in any manner that could damage, disable, overburden, or impair our servers or networks, use scan results or audit logs to harass, threaten, or make fraudulent claims against third parties, or remove or alter any proprietary notices, labels, or marks on the Service.
We reserve the right to suspend or terminate your account if we reasonably believe you are violating these Acceptable Use terms.
5. Intellectual Property
5.1 Our Intellectual Property
The Service, including its software, design, text, graphics, logos, user interface, and all underlying technology, is owned by BidShield ADA and is protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited license to use it as described herein.
5.2 Your Content & Data
You retain all ownership rights in the URLs, documents, files, and other content you submit to the Service ("Your Content"). By submitting Your Content, you grant us a limited, non-exclusive, royalty-free license to process, analyze, and store Your Content solely as necessary to provide the Service to you. This license terminates when you delete Your Content or your account.
You own all scan results, audit defense logs, remediation reports, and other outputs generated by the Service based on Your Content ("Output Data"). You are free to use, distribute, and share your Output Data in any manner, including providing it to your legal counsel, procurement officers, or municipal contracting authorities.
5.3 Feedback
If you provide us with suggestions, ideas, or other feedback about the Service ("Feedback"), you grant us a non-exclusive, perpetual, irrevocable, royalty-free license to use that Feedback for any purpose, including improving the Service, without any obligation or compensation to you.
6. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR COMPLETENESS.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
WE DO NOT WARRANT THAT SCAN RESULTS WILL IDENTIFY ALL ACCESSIBILITY BARRIERS, THAT AI-GENERATED ALT-TEXT WILL BE ACCURATE OR CONTEXTUALLY APPROPRIATE IN ALL CASES, THAT REMEDIATION SUGGESTIONS WILL RESOLVE ALL COMPLIANCE ISSUES, OR THAT USE OF THE AUDIT DEFENSE LOG WILL SUCCESSFULLY DEFEND AGAINST ANY LEGAL CLAIM OR REGULATORY ACTION.
THE DETERMINATION OF WHETHER ANY COMPLIANCE EFFORT CONSTITUTES A "GOOD FAITH EFFORT" UNDER DOJ TITLE II OR ANY OTHER LEGAL STANDARD IS A LEGAL DETERMINATION THAT MUST BE MADE BY YOUR QUALIFIED LEGAL COUNSEL, NOT BY BIDSHIELD ADA.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BIDSHIELD ADA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS, GOODWILL, OR REVENUE, WHETHER ARISING FROM CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
WITHOUT LIMITING THE FOREGOING, WE SHALL NOT BE LIABLE FOR ANY DAMAGES ARISING FROM: (A) YOUR RELIANCE ON SCAN RESULTS, REMEDIATION SUGGESTIONS, OR AUDIT DEFENSE LOGS AS A SUBSTITUTE FOR LEGAL ADVICE; (B) THE FAILURE OF ANY COMPLIANCE STRATEGY BASED IN WHOLE OR IN PART ON SERVICE OUTPUTS; (C) LOSS OF A CONTRACT, BID, OR BUSINESS OPPORTUNITY DUE TO ACTUAL OR ALLEGED NON-COMPLIANCE WITH ACCESSIBILITY REQUIREMENTS; (D) REGULATORY FINES, PENALTIES, OR LEGAL JUDGMENTS RELATED TO ADA, TITLE II, SECTION 508, OR ANY OTHER LAW; OR (E) ANY THIRD-PARTY CLAIMS ARISING FROM YOUR USE OF THE SERVICE OR ITS OUTPUTS.
IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE AMOUNT YOU ACTUALLY PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
8. Indemnification
You agree to indemnify, defend, and hold harmless BidShield ADA, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to your use of the Service, your violation of these Terms, your violation of any applicable law or regulation, your infringement of any third-party rights, any content you submit to or through the Service, and any reliance by you or any third party on Service outputs as legal advice or a legal compliance determination.
9. Dispute Resolution
9.1 Informal Resolution
Before initiating any formal dispute resolution proceeding, you agree to first contact us at support@bidshieldada.com and attempt to resolve the dispute informally for at least 30 calendar days. Most concerns can be resolved quickly through direct communication.
9.2 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Salt Lake County, Utah, and you consent to the personal jurisdiction of such courts.
9.3 Class Action Waiver
To the fullest extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If this class action waiver is found to be unenforceable, then the entirety of this dispute resolution section shall be deemed void.
10. Service Modifications & Termination
We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to provide advance notice of material changes. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.
We may terminate or suspend your account at any time for violation of these Terms. Upon termination, your right to use the Service ceases immediately. We will make your Output Data available for export for 30 days following termination (except in cases of termination for fraud or abuse). After this 30-day period, we may delete your data in accordance with our Privacy Policy.
You may terminate your account at any time by contacting us at support@bidshieldada.com. Account termination does not entitle you to a refund except as provided in Section 3.3.
11. Third-Party Services
The Service integrates with and depends on third-party services including Supabase (database and authentication), Stripe (payment processing), and Vercel (hosting). Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the availability, performance, or policies of third-party services. In the event that a third-party service experiences an outage or discontinuation, we will make commercially reasonable efforts to maintain or restore Service functionality but cannot guarantee uninterrupted access.
12. Scanning Third-Party Websites
The WCAG scanning feature operates by sending HTTP requests to the URLs you provide. You represent and warrant that you own, operate, or have explicit written authorization to scan any URL you submit to the Service. You are solely responsible for ensuring that your use of the scanning feature complies with all applicable laws, regulations, and any terms of service of the websites you scan. BidShield ADA is not responsible for any consequences arising from your scanning of websites without proper authorization.
13. AI-Generated Content
Certain features of the Service use artificial intelligence to generate content, including alt-text descriptions for images and documents, remediation suggestions, and site plan analysis. AI-generated content is provided as a starting point and may contain inaccuracies, omissions, or contextual errors. You are solely responsible for reviewing, validating, and editing all AI-generated content before incorporating it into your websites, documents, or compliance artifacts. We do not guarantee the accuracy, completeness, or suitability of any AI-generated content. Use of AI-generated content without human review does not constitute a "Good Faith Effort" toward compliance under any interpretation of that standard.
14. Electronic Communications
By creating an account, you consent to receive electronic communications from us related to your account and the Service, including purchase confirmations, security alerts, product updates, and support correspondence. You agree that all agreements, notices, and communications provided electronically satisfy any legal requirement that such communications be in writing.
15. Severability & Entire Agreement
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and BidShield ADA regarding the Service and supersede all prior or contemporaneous agreements, representations, warranties, and understandings.
16. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by posting the updated Terms on this page with a revised "Effective Date" and, for material changes that may affect your rights, by sending an email notification to your account address at least 15 days before the changes take effect. Your continued use of the Service after the effective date of any updated Terms constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and may request account termination.
